MINUTES OF BOARD OF DIRECTOR’S MEETING

May 31, 2007

 

CALL TO ORDER:  President, Bill Leavitt, called the meeting to order at 10:00 a.m., via conference call.

CONFIRMATION OF PROPER MEETING NOTICE:  Bud Stewart confirmed that the appropriate notice had been posted in accordance with the Association’s documents.

DETERMINATION OF A QUORUM:  A quorum of the Board was established with five (5) directors responding to the conference call:  Bill Leavitt, President; Tom Voss, Vice President; Dave Hubbard, Treasurer; Joyce Kendall, Secretary, and Bud Stewart, Director at Large.

Also in attendance at Bud Stewart’s unit were Bruno Costa, Bill James, Vince Scialo, Pat Hoyt, and Ken Piotter. Bud Stewart provided a speakerphone so that those in attendance could hear the conversation among the Board as it occurred.

POOL BIDS:

Bill Leavitt opened the meeting by noting that an email had been sent out to all Board members with the bids from three general contractors for the pool reconstruction.  All had received the email. Three bids were received.

1) Leo Pfliger Construction Inc. for $189,090.86; 2) Bayfront Builders for $249,000.00; 3) David A. Spade, Inc. for $249,078.00.

Joyce Kendall asked about the asphalt repair, which is not in the bids. Bill Leavitt said that there are two other areas in GCA that are in need of asphalt repair, in front of units 141 and 105, and that we should do repairs them at the same time as we repair the street near the pool reconstruction site and that will be done in the fall. All agreed.

Regarding Leo Pfliger’s bid, Joyce said that she was concerned that the areas of concrete sidewalk repair/replacement and replacement of damaged sod in the contract were vague in the bid and she would like them to be more specific in the final contract.  Bill Leavitt said that if the contractor damages the above they will repair them and will also ask that that be added to the contract. Bill also said that Tom Shaw has taken photos, as has Bud Stewart, of the way things look now, before the reconstruction.

Dave Hubbard noted that Tom Shaw is $10,000.00 over budget. In 2006 his fees were $9900.00 and up to April 2007 they were an additional $17,700.00 equal to $27,600.00. The original estimate was $17,300.00.  Bill said that he would get an estimate from Tom Shaw.

Dave asked if Tom Shaw believes contractor Leo Pfliger is usually on budget. Bud said that there is nothing in the contract about being over budget.

Dave noted that Bayfront gave us an estimate of $1,300.00 to demo and replace the concrete in front of the cabana. Bill said that this will be done and will be included in the contract.

Tom Voss asked why the difference in the bids. Bill said that according to Tom Shaw, Leo Pfliger is a hands-on person and has electrical contractors, etc. on board.  He works with Universal Engineering who designed the pilings and who is a subcontractor, and he works with the pool company who is also a sub.  The pilings, pool, bathrooms will be as in the drawings. Twenty-eight pilings is the worse case scenario and we may be able to do it will fewer if they can use longer piles, thus saving some money. 

Dave asked about using pavers instead of concrete in front of the cabana. Bill said that it is easier to move picnic tables on concrete and also less maintenance.  It was agreed that we replace the concrete with concrete in front of the cabana. The two permanent wooden picnic tables will be replaced with new portable ones in the fall.

Dave asked Tom Voss how he felt about Pfliger’s bid; Tom was satisfied.

Bud asked about a payment plan for Pfliger; Bill said that Pfliger was supposed to email him with the information. Bill will follow up on that. Bill Leavitt called for a motion.

Motion made by Tom Voss to award bid as presented to Leo Pfliger Construction Inc. in the amount of  $189,090.86.  Seconded by Bud Stewart. All yes by voice vote.  Motion passed.

Bill Leavitt said that when Tom Shaw went to the county to get the final permits the county said that no such place as 160 Jose Gaspar Drive existed.  Tom Shaw said he will take care of this and it shouldn’t be a problem. Bill talked to Corrine Malopolski and she said that the original documents said that 160 Jose Gaspar Drive should have a swimming pool.  If necessary Bill will ask Corrine to get hold of GCA’s attorney, Sharon Vander Wulp to get it straightened out.

Dave Hubbard asked Bill to get Tom Shaw to update his $331,800 estimate and give us a final cost estimate to include, among any other items, the cost of the water to fill the pool as well as Tom Shaw’s estimate for his fees.

Corrine will post notice of the start of the pool reconstruction 48 hours before work begins. The pool furniture will be plastic wrapped and stored in the cabana area. 

Bud Stewart and Bill James will take photos of the construction as it progresses. Joyce will post some photos on the website.

SCREEN DOOR REQUEST:

Judy Breitenbach asked for permission to replace the screen door at unit 126.

Motion made by Joyce Kendall to give permission to Judy Breitenbach to replace the screen door at unit 126 as long as it fits the requirements of appearance. Seconded by Dave Hubbard. All yes by voice vote. Motion passed.

WELL PUMP:

Bud noted that the well pump is not working. Bill stated that Michael Swarbrick should be coming in to look at it.

FINANCIALS:

Dave Hubbard reported that there are still concerns about the financials, which were mailed out to you, and has been and will continue to be in touch with Corrine about this.

CALL TO ADJOURN:  There being no further business to properly come before the Board at this meeting, motion by Bud Stewart to adjourn at 10:39 a.m.  Seconded by Dave Hubbard.  All yes by voice vote.  Motion passed.
